Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of CarrierPulse.ai's platform, website, and related services (collectively, the "Service"), operated by CarrierPulse.ai ("Company," "we," "our," or "us").

By accessing or using the Service, you confirm that you are at least 18 years old, have the authority to bind your company to these Terms, and agree to be bound by them. If you do not agree, please do not use our Service.

Description of Service

CarrierPulse.ai is an AI-powered platform designed to help trucking carriers and fleet operators manage and optimize their operations. Features include, but are not limited to:

• Fleet operations management and truck/driver assignment optimization.
• Dispatch and load optimization with AI-driven recommendations.
• Real-time GPS tracking and automated shipment updates.
• Safety, compliance, and ELD/HOS monitoring tools.
• Predictive maintenance scheduling and vehicle health tracking.
• Financial reporting, invoicing, and profitability analytics.
• Driver retention tools and performance tracking.
• Integration with TMS, ELD, telematics, and broker platforms.

Account Registration & Responsibilities

To access the Service, you must create an account. You agree to provide accurate, complete, and current information during registration and to keep your account credentials secure.

You are responsible for all activity that occurs under your account. Notify us immediately at contact@carrierpulse.ai if you suspect unauthorized access. We are not liable for losses caused by unauthorized use of your account.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to violate any applicable federal, state, or local law, including FMCSA regulations.
• Attempt to reverse-engineer, decompile, or extract proprietary algorithms or AI models.
• Upload false, misleading, or fraudulent fleet, driver, or load data.
• Interfere with or disrupt the integrity or performance of the platform or its infrastructure.
• Resell, sublicense, or redistribute access to the Service without our written consent.
• Use the Service to facilitate illegal freight brokering or carrier activities.

Subscription & Payment

Access to CarrierPulse.ai is provided on a subscription basis. Pricing, billing cycles, and plan details are communicated at the time of purchase and may be updated with prior notice.

All fees are non-refundable except as required by law or as expressly stated in our refund policy. Failure to pay subscription fees may result in suspension or termination of your account. You are responsible for any taxes applicable to your subscription.

Intellectual Property

The Service, including its AI models, software, algorithms, designs, logos, and content, is owned by CarrierPulse.ai and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

You retain ownership of the data you input into the platform. By using the Service, you grant us a limited license to process your data solely for the purpose of providing and improving the Service, as described in our Privacy Policy.

Third-Party Integrations

The Service may integrate with third-party platforms including TMS systems, ELD providers, telematics platforms, and freight brokers. Your use of these integrations is subject to the respective third parties' terms and privacy policies. We are not responsible for the practices, availability, or accuracy of third-party services.

Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, CarrierPulse.ai disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

AI-generated insights, recommendations, and analytics are provided as decision-support tools only. You remain solely responsible for all operational decisions, regulatory compliance, and the safety of your fleet, drivers, and cargo.

Limitation of Liability

To the maximum extent permitted by applicable law, CarrierPulse.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, data, or goodwill, arising out of or related to your use of the Service.

Our total liability for any claim arising out of these Terms shall not exceed the amount you paid us in the three (3) months preceding the claim.

SMS Notifications

By using CarrierPulse and providing your phone number, you agree to receive SMS notifications related to your use of the platform, including operational, transactional, and service-related messages. You acknowledge that:

• Message frequency may vary
• Message and data rates may apply based on your mobile carrier
• CarrierPulse is not responsible for delayed or undelivered messages.

Termination

You may terminate your account at any time by contacting us. We reserve the right to suspend or terminate your access to the Service at our discretion, with or without notice, if you breach these Terms or engage in conduct that is harmful to us, other users, or third parties.

Upon termination, your right to use the Service ceases immediately. We may retain your data for a period as described in our Privacy Policy before deletion.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice within the platform. Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of North Macedonia, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration or in a court of competent jurisdiction.
